1. INTRODUCTION
1.1 These Terms and Conditions of Sale apply to all Goods and Services from time to time provided by Wood Art and Signs to the purchaser of those goods (“the Buyer”). The reference ‘Site’ indicates Wood Art and Signs website.
2. ORDERING
2.1 Placing an order on Wood Art and Signs Site indicates full acceptance of Wood Art and Signs Terms and Conditions.
2.2 Website purchases monies must be received in Wood Art and Signs bank account the day prior to posting.
2.4 Orders with a New Zealand delivery address will have prices displayed including GST as applicable.
2.5 Whilst we attempt to display the colours of the product listings as accurately as possible on the Site we cannot guarantee that the colour you see matches the actual product colour, as the colour displayed depends, in part, upon the monitor used by you.
3. WEBSITE LINKS
3.1 BUYERS may link to our Site, provided they do so in a legal and fair way that does not damage or take advantage of Wood Art and Signs reputation. Links must be established in such a way that there is no suggestion of any form of association, endorsement or approval with wood Art and Signs where none exists. Wood Art and Signs expressly reserves the right to withdraw linking permission at any time and to take any action it deems appropriate.
3.2 Use of Wood Art and Signs trademark, logo, content or other proprietary information is prohibited without our express written consent. Any unauthorized use of the Wood Art and Signs Site will terminate the permission or license granted by these Terms.
3.3 The Site may provide links to external websites for BUYER’S information. Wood Art and Signs have not reviewed these third party websites and have no control over such sites or resources. Wood Art and Signs therefore do not endorse or make any representations about them. If you decide to access any of the third party websites linked to the Site, you do so entirely at your own risk and no responsiblilty for any loss or damage that may arise from your use of them is accepted by Wood Art and Signs.
4. WARRANTY/INDEMNITY
4.1 Whilst all care and attention is undertaken by Wood Art and Signs to produce goods of the highest quality, and to ensure that all components (including inks, media, paints and other materials) are purchased from reputable manufacturers, Wood Art and Signs does not guarantee the manufacture of such items. Where any defect or alleged defect is beyond the ability of Wood Art and Signs to control quality, Wood Art and Signs has no liability. Any defects due to faulty workmanship must be notified within 7 days after delivery. Any such defects will, at the discretion of Wood Art and Signs, be repaired or replaced free of charge.
5. INTELLECTUAL PROPERTY RIGHTS
5.1 Reproduction, duplication, copying, selling and re-selling or exploiting any portion or use of the Site, or access to the Site or any contact on the website through which the Service is provided, is prohibited without express permission by Wood Art and Signs.
6. RIGHT OF VARIATION
6.1 Wood Art and Signs reserves the right at any time to vary these Terms and Conditions of Sale, without notification to its customers.
7. QUOTATIONS AND CUSTOM WORK
Orders
7.1 Quotations are only for work according to original specifications. If through the Buyer’s error, or omission, work has to be redone or alterations or additions to specifications are required, then Wood Art and Signs may include an additional charge. In the event that an order is cancelled or suspended by the Buyer, then Wood Art and Signs may immediately require the Buyer to pay for work done to the date of cancellation or suspension.
7.2 Buyers are strongly recommended to place custom orders in writing. Orders should clearly state the Buyer’s particular requirements. Wood Art and Signs will not be responsible for errors or omissions due to oversight or to misinterpretation of the Buyer’s verbal instructions.
7.3 No order shall be deemed to be accepted until an email acceptance of order has been issued. The contract will relate only to those items notified in the email acceptance of order. Where an order is not accepted a full refund will be made.
7.4 A quotation, unless previously withdrawn, is valid only for 30 days from the date it is given, unless otherwise specifically stated in the quotation form. Following this a new quotation will be required for any goods or services ordered.
7.5 Wood Art and Signs reserves the right to refuse any work which in its opinion is or may be unlawful, offensive, or otherwise inappropriate.
7.6 Where expedited delivery is requested by the Buyer, then an extra charge may be added to the quoted price.
Prices for Custom Orders
7.7 The prices of goods or services supplied are as shown on Wood Art and Signs quotation, acceptance order, invoice, or other documents. Wood Art and Signs reserves the right to charge for delivery, in addition to the amount shown in the quotation, acceptance of order, or other document. In addition installation, which may in the first instance be an estimate based on information supplied at the time of quotation, may be adjusted to reflect the full cost incurred once these aspects have been completed.
7.8 Because of the need to have a sign dimensionally balanced Wood Art and Signs reserves the right to make minor alterations to the size of the sign. Also where materials are not available for any reason Wood Art and Signs reserves the right to substitute materials of a similar specification.
7.9 Experimental work, preliminary sketches and designs and origination costs produced at the Buyer’s request will constitute an order, which will be charged for, even if the job does not proceed further. Sketches and prototypes submitted on a speculative basis shall remain the property of Wood Art and Signs and no use of them shall be made, nor shall any idea obtained from them be used by the Buyer. Upon the Buyer making appropriate payment to Wood Art and Signs property in these items shall pass to the Buyer. Charges made to the Buyer for initial setting up or origination do not give the Buyer any rights to designs, patterns, films, or any other mediums containing such works. These shall at all time remain the property of Wood Art and Signs, unless otherwise specifically agreed in writing.
7.10 Quoted prices may change due to increases in the cost of materials, after the date of quotation.
Payment Terms for Custom Orders:
7.11 Wood Art and Signs standard terms of payment are 50% deposit with a custom order unless otherwise arranged, the balance due on completion. If payment is not made on the due date, then Wood Art and Signs may charge interest on the overdue amount calculated on a daily basis from the due date until actual payment. This interest charged shall be at a rate of 2% per calendar month, but calculated on a daily basis on the amount outstanding from time to time.
Termination
7.12 If the Buyer is at any time in default of any of its obligations, covenants or agreements under these Terms and Conditions of Sale, then Wood Art and Signs may, by notice in writing to the Buyer, terminate any contract.
7.13 In such event the Buyer shall be liable to pay for the cost of any work (including preliminary work) undertaken at that time. Such cost shall be payable as a debt due immediately upon demand.
Intellectual Property
7.14 Unless it is specifically agreed in writing to the contrary Wood Art and Signs retains all intellectual property rights, including copyright, patents, registered designs, or protection of confidential information in respect of any works undertaken by Wood Art and Signs for the Buyer.
7.15 The Buyer will at all times keep Wood Art and Signs advised of any infringement or potential infringement by a third party of Wood Art and Signs intellectual property rights.
7.16 The Buyer will also immediately advise Wood Art and Signs of any alleged infringement by Wood Art and Signs of a third party’s intellectual property rights. The Buyer will indemnify and hold harmless Wood Art and Signs against any losses, costs, actions or liabilities suffered or incurred as a consequence of such infringement or alleged infringement.
7.17 Reproduction, duplication, copying, selling and re-selling or exploiting any portion or use of the Site, or access to the Site or any contact on the website through which the Service is provided, is prohibited without express permission by Wood Art and Signs.
Assignment
7.18 Wood Art and Signs is entitled at any time to assign to any other party all or any part of a debt which is owing to Wood Art and Signs.
7.19 Wood Art and Signs may also assign or sub-contract any part of the work which is to be performed under any contract.
7.20 In respect of such assignment (in either case) the assignee shall be entitled to the full rights of Wood Art and Signs previously applying.
Returns and Refunds Policy
In addition to your statutory rights, you have 7 days from the day on which you receive the goods to notify Wood Art and Signs if you want to return or exchange an item for any reason. Goods to be returned or exchanged must be received in an unused resaleable condition with packaging intact and all labels, instructions, etc returned with the item.
Faulty, Damaged or Incorrect Goods Returns
The Consumer Guarantees Act sets out minimum standards for goods sold on our marketplace.
If you are unhappy with your purchase for any reason you should contact Wood Art and Signs to raise your concerns and we will do our best to remedy the situation to your satisfaction.
Faulty Goods
Under the Consumer Guarantees Act in the event that goods sold are deficient or are faulty, the seller has the right to repair, replace or refund the product. Wood Art and Signs will repair or replace any such goods.
Damaged Goods
If you suspect your product has been damaged during delivery please do not throw away the parcel or cover in which the product came as the courier may need to inspect it.
Incorrect goods
If you believe you have received incorrect goods, please contact woodartandsigns@gmail.com and we will endeavour to rectify this as soon as possible
General
Please do not destroy or throw away any product, even if it’s faulty, before you have contacted Wood Art and Signs and agreed that doing so won’t affect any refund you may be entitled to.
Please note that you are liable for any loss in value of the product resulting from the handling of the product in any way while you are responsible for it (this includes, in the context of a return, when the product is in transit back to the seller).
